You hereby waive all rights to any claim against Crimeseen, LLC for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such Communications.

4. Confidentiality

You acknowledge that posting information, photographs, or videos, or engaging in any other form of communication with the Site or with Crimeseen, LLC is not confidential and your Communications may be read or intercepted by others. You acknowledge that by submitting Communications to Crimeseen, LLC, no confidential, fiduciary, contractually implied or other relationship is created between you and Crimeseen, LLC other than pursuant to this Agreement.

5. Proper Postings

Posting information, photographs, or videos that contain fabricated information is strictly prohibited. However, Crimeseen, LLC reserves the right at all times to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, that in Crimeseen, LLC’s sole discretion are objectionable or in violation of this Agreement.

Should law enforcement use the Site, Crimeseen, LLC reiterates that it does not and cannot review all materials posted to the Site by users. As such, all information posted to the Site should be verified with local authorities, including court clerks.

7. Advertisements

The Site contains links and pointers to other related internet sites, resources, and sponsors of the Site. Links to and from the Site to other third party sites, maintained by third parties, do not constitute an endorsement by Crimeseen, LLC or any of its subsidiaries or affiliates of any third party resources, or their contents.

9.  Miscellaneous

You hereby agree to indemnify, defend and hold Crimeseen, LLC, and all its officers, directors, owners, agents, employees, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of the Agreement or the foregoing representations, warranties and covenants, including, without limitation, attorneys' fees and costs. You shall cooperate as fully as reasonably required in the defense of any claim. Crimeseen, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of Crimeseen, LLC.

You and Crimeseen, LLC agree that any cause of action arising out of or related to the Site must commence within one (1) year after the cause of action accures.  Otherwise, such cause of action is permanently barred.

This Agreement is entered into in the State of Oklahoma and shall be governed by and construed in accordance with the laws of the State of Oklahoma, exclusive of its choice of law rules.  Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts sitting in the Oklahoma County in the State of Oklahoma, and waives any jurisdictional, venue, or inconvenient forum objections to such courts.

In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees.

In the event that any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.  A printed version of the Site Terms and Conditions and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Site Terms and Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.  Crimeseen, LLC may assign the this Agreement, in whole or in part, at any time with or without notice to you.  You may not assign this Agreement.      

This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and except for the Crimeseen Online Advertising Partner Terms and Conditions, any and all written or oral agreements heretofore existing between the parties hereto are expressly canceled.  The section titles in the Site Terms and Conditions and the Crimeseen Online Advertising Partner Terms and Conditions are solely used for the convenience of the parties and have no legal or contractual significance.

Crimeseen, LLC reserves the right, at its sole discretion, to change, modify, add or remove any portion of this Agreement, in whole or in part, at any time. You are responsible for regularly reviewing these terms, conditions and notices, and any additional terms posted on the Site.  Your continued use of the Site constitutes your acceptance of, and agreement to, the Site Terms and Conditions, including any changes made to such Terms and Conditions pursuant to this section.

Crimeseen Online Advertising Partner Terms and Conditions

PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS BELOW IN ADDITION TO THE SITE TERMS AND CONDITIONS BEFORE REGISTERING FOR THE CRIMESEEN ONLINE ADVERTISING PARTNER PROGRAM (“THE PROGRAM”).  PARTICIPATION IN THE PROGRAM INDICATES THAT YOU ACCEPT THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER FOR OR PARTICIPATE IN THE PROGRAM.

1.  Introduction.

This agreement ("Agreement") between You and Crimeseen, LLC consists of the Terms and Conditions below (“Online Advertising Partner Terms and Conditions”) in addition to the Site Terms and Conditions contained at http://crimeseen.com/content/terms-and-conditions, or such other URL as Crimeseen, LLC may provide from time to time. 

A description of the Program, as generally offered by Crimeseen, LLC, is available at the following URL:  http://crimeseen.com/content/become-partner, or such other URL as Crimeseen, LLC may provide from time to time. For purposes of this agreement, "You" or "Partner" means any entity identified in an enrollment form submitted by the same or affiliated persons, and/or any agency or network acting on its (or their) behalf, which shall also be bound by the terms of this Agreement.

2.  Program Participation.

Participation in the Program is subject to Crimeseen, LLC prior approval and Your continued compliance with the Site Terms and Conditions, located at http://crimeseen.com/content/terms-and-conditions, or such other URL as Crimeseen, LLC may provide from time to time. Crimeseen, LLC reserves the right to refuse participation to any applicant or participant at any time in its sole discretion. By enrolling in the Program, You represent that You are at least 18 years of age. 

3.  Termination; Cancellation.

This agreement may be terminated with or without cause at any time, by Crimeseen, LLC.  You may terminate this Agreement with or without cause at any time by sending written notice of your desire to cancel Your participation in the Program at http://crimeseen.com/contact. This Agreement will be deemed terminated within ten (10) business days of Crimeseen's receipt of Your notice. Upon Your termination of the Program or termination of this Agreement for any reason, the Site Terms and Conditions found at http://crimeseen.com/content/terms-and-conditions, or such other URL as Crimeseen, LLC may provide from time to time, shall survive termination.

4.  Payment.

You agree to pay $50.00 each month to participate in the Program.  Unless otherwise agreed to by the parties in writing (including by electronic mail) or pursuant to the terms of a Crimeseen promotion, Your participation in the Program will automatically renew for another prepaid period of one month unless you choose to cancel prior to that renewal, or the Program is cancelled, terminated, or discontinued by you or by Crimeseen, LLC. Your Paypal account will automatically be charged (or you will be billed, as applicable) at a rates of $50.00.

5.  Representations and Warranties.

You represent and warrant that (a) all of the information provided by You to Crimeseen, LLC to enroll in the Program is correct and current; (b) You have all necessary right, power, and authority to enter into this Agreement and to perform the acts required of You hereunder; and (c) You have complied and will continue to comply with all applicable laws, statutes, ordinances, and regulations in Your performance of any acts hereunder.

You further represent and warrant that any material displayed therein: (i) complies with all applicable laws, statutes, ordinances, and regulations; (ii) does not breach and has not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (iii) is not pornographic, hate-related or otherwise violent in content.
